Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Chort ("we", "us"), based in the British Virgin Islands. They govern your access to and use of our websites, applications, and related services (together, the "Service"). Please read them carefully. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. You must not use the Service if you are prohibited from doing so under the laws of your country of residence or any other jurisdiction applicable to you. The Service is not available to users in jurisdictions we restrict access from, including those subject to comprehensive sanctions.

3. Account

You are responsible for safeguarding the credentials used to access your account and for all activity that occurs under it. You agree to provide accurate and current information when registering, to keep that information up to date, and to notify us promptly at security@chort.com of any unauthorised use of your account or any other breach of security. You may register only one account per person unless we expressly agree otherwise.

Each account is for the sole use of the individual who registered it. You may not share, lend, sell, transfer, lease, or otherwise allow any third party to use your account or your credentials without our prior written consent. We may treat any access to your account by an unauthorised third party as a breach of these Terms by you.

4. Identity Verification and Compliance

We may, at our discretion or where required by applicable law, ask you to provide additional information to verify your identity, your eligibility to use particular features, or the source of any funds you receive through the Service. Certain features — including those that involve receiving payments, publishing content for sale, or accessing higher-value or otherwise restricted activities — may require enhanced verification before you are granted access.

Information we may request includes, without limitation: your full legal name, date of birth, residential address, nationality, government-issued photographic identification, proof of address, tax identification numbers, and other information reasonably necessary for us to comply with applicable anti-money-laundering ("AML"), counter-terrorist-financing ("CTF"), sanctions, and know-your-customer ("KYC") obligations.

You agree to provide accurate, complete, and current information in response to any such request, and to update it promptly if it changes. We may use third-party verification providers to process this information; their handling of it is described in our Privacy Policy. We may suspend, restrict, or terminate your access to all or part of the Service, including any pending Transactions or balances associated with your account, where you fail to complete verification, where verification raises concerns we cannot resolve, or where required by law.

5. The Service

The Service is a platform through which users may access market data and related analysis; publish, share, follow, and consume content created by other users ("User Content"); participate in groups, communities, or other social features; and, where available, purchase, sell, or otherwise transact in digital content, subscriptions, or related services through our marketplace. The Service may also offer integrations with third-party platforms, including third-party execution venues, where you elect to connect them.

The features available to you, and the regions in which they are available, depend on your account type, your jurisdiction, your completion of any verification we require, and our agreements with third-party providers. We may add, modify, suspend, withdraw, or replace any feature of the Service at any time, with or without notice. Reference to a feature in these Terms does not constitute a commitment to offer that feature at any particular time.

6. Acceptable Use

You agree not to, and not to attempt to:

  • Use the Service in violation of any applicable law, regulation, or third-party right.
  • Access, scrape, copy, or harvest data from the Service by automated means without our prior written permission.
  • Interfere with, disrupt, or impose an unreasonable load on the Service or its underlying infrastructure.
  • Probe, scan, or test the vulnerability of any part of the Service, or breach or circumvent any security or authentication measures, except as expressly permitted under a published security testing programme.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Engage in market manipulation, deceptive trading practices, or the provision of unauthorised investment advice or solicitation through the Service.
  • Use the Service to transmit any material that is unlawful, infringing, defamatory, or otherwise objectionable.
  • Resell, sublicense, or otherwise commercialise access to the Service except as expressly authorised by us in writing.

We may investigate and respond to suspected violations of these Terms, including by suspending or terminating accounts and removing User Content.

7. User Content

The Service may allow you to submit, upload, publish, share, or otherwise make content available, including text, images, audio, video, watchlists, analysis, comments, usernames, and other materials ("User Content").

Your responsibility. You are solely responsible for your User Content and for the consequences of making it available through the Service. You represent and warrant that you own or have all necessary rights to your User Content, that it does not infringe the rights of any third party, and that it complies with these Terms and all applicable laws.

Licence to us. You retain ownership of your User Content. You grant Chort a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt (only to the extent necessary for technical operation, such as resizing or transcoding), distribute, and display your User Content for the purpose of operating, providing, promoting, and improving the Service. This licence terminates when you delete your User Content, except to the extent the User Content has been shared with or relied upon by other users, and except as necessary for us to comply with our legal obligations or to retain backup copies.

Prohibited content. You must not submit User Content that is unlawful, infringing, defamatory, fraudulent, harassing, threatening, obscene, or invasive of another's privacy; that promotes violence or discrimination; that constitutes spam, market manipulation, or unauthorised investment advice or solicitation; that contains malware or links to malicious resources; or that otherwise violates these Terms.

Moderation. We are not obliged to monitor User Content but we may review, refuse, edit, restrict access to, or remove any User Content at our discretion, with or without notice, where we believe it violates these Terms, harms other users, exposes us to legal risk, or for any other reason. Our exercise (or non-exercise) of these rights in any particular case does not waive them in respect of similar content in future.

Copyright complaints. If you believe content on the Service infringes your copyright, contact us at legal@chort.com with the URL of the allegedly infringing content, a description of the original work, evidence of your ownership or authority to act, and your contact details. We will review and respond in accordance with applicable law.

8. Payments and Marketplace

Certain features of the Service may be offered for a fee, or may facilitate transactions between users (each, a "Transaction"). Prices, fees, taxes, payment methods, refund eligibility, and any commission or platform fee we charge will be made available to you at or before the point of purchase.

Payment processors. Payments are processed by third-party payment processors. Your use of those processors is subject to their own terms and privacy policies. We do not store full payment card details; we receive only the information necessary to operate the Service.

Taxes. You are responsible for any taxes, levies, or duties applicable to your purchases or sales through the Service, except for taxes we are required by law to collect from you. Where we charge sales tax, VAT, GST, or similar, the applicable amount will be shown to you at or before checkout.

Marketplace Transactions. Where the Service enables Transactions between users, Chort acts as an intermediary that facilitates those Transactions. Unless we expressly state otherwise, Chort is not party to the underlying contract between buyer and seller, does not warrant the quality, legality, accuracy, or fitness for purpose of any User Content offered for sale, and is not responsible for performance or non-performance of any Transaction. Sellers are responsible for fulfilling their obligations to buyers and for complying with any consumer-protection, tax, and other legal obligations that apply to them.

Refunds and chargebacks. Refund eligibility for specific products or features will be set out at or before the point of purchase. Chargebacks or payment reversals initiated through your payment processor or bank may result in suspension of your account pending resolution.

9. Third-Party Services

The Service may include integrations with, or links to, third-party services, including social sign-in providers, payment processors, content creators, market-data providers, and execution venues ("Third-Party Services"). Where you choose to connect a Third-Party Service to your account, you authorise us to exchange information with that Third-Party Service as necessary to provide the integration. Your use of any Third-Party Service is governed by that provider's own terms and privacy policies, and Chort is not responsible for the availability, accuracy, content, or practices of any Third-Party Service.

Where you place orders or otherwise transact through a Third-Party Service via an integration with the Service, that Third-Party Service — not Chort — is the counterparty to those orders and transactions, except where we expressly state otherwise. Chort does not act as a broker, dealer, or intermediary in any such transaction unless explicitly stated.

10. No Financial Advice

Any market data, analysis, charts, signals, User Content, or other information made available through the Service is provided for informational and educational purposes only and does not constitute, and should not be construed as, financial, investment, trading, tax, or legal advice. We are not a broker, dealer, investment adviser, or fiduciary, and nothing in the Service is intended as a recommendation to buy, sell, or hold any financial instrument.

You are solely responsible for your own investment and trading decisions and for evaluating the merits and risks of any transaction you undertake. Past performance does not guarantee future results, and trading involves substantial risk of loss. You should seek independent professional advice where appropriate before acting on any information obtained through the Service.

11. Intellectual Property

The Service, including all software, text, graphics, designs, trademarks, logos, layouts, and other content made available by us (excluding User Content), is owned by Chort or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal use, or, where applicable, for the commercial purposes expressly enabled by the features made available to you.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or sublicense any part of the Service except as expressly permitted by these Terms or by us in writing.

12. Service Availability

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time or location, and we do not guarantee any level of accuracy or completeness of any information made available through the Service. We may modify, suspend, or discontinue the Service or any feature of it at any time, with or without notice.

To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to defend, indemnify, and hold harmless Chort, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your User Content; (b) your use of the Service; (c) your breach of these Terms or applicable law; or (d) any Transaction to which you are party that is facilitated through the Service. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of such matter.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Chort, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits any liability that cannot be lawfully excluded or limited, including liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

15. Termination

You may stop using the Service and delete your account at any time through the in-product account-deletion flow. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe you have breached these Terms, if we are required to do so by law, or if we discontinue the Service.

Sections that by their nature should survive termination — including Identity Verification and Compliance, User Content (in respect of licences granted before termination), Payments and Marketplace (in respect of completed Transactions), No Financial Advice, Intellectual Property, Indemnification, Limitation of Liability, and Governing Law — will continue to apply after your account is closed.

16. Governing Law and Disputes

These Terms, and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict-of-laws principles.

You and Chort agree that the courts of the British Virgin Islands shall have exclusive jurisdiction to settle any such dispute or claim, save that we may bring proceedings against you for breach of these Terms in your country of residence or any other relevant country. Nothing in this section limits any mandatory rights you may have as a consumer under the laws of your country of residence that cannot be excluded by contract.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will be communicated through the Service or by email where appropriate. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
